Operating conditions and essential requirements

- Voucher delivery and validation: the restaurant uploads CSV file with 100 unique codes + PDF sample/voucher image; BookdiaFork verifies technical compliance and anti-fraud within 5 working days. The subscription is activated only after formal acceptance of the vouchers.

- Voucher specifications: unique single redemption code/QR, value €30, validity 12 months from the date of issue, maximum 1 voucher per visit/cover (unless otherwise indicated). Vouchers not convertible into cash.

- Replacements and additions: if non-compliant or insufficient vouchers, the restaurant has 15 days to replace them; if the total value does not reach €3,000, the customer integrates the difference in cash within 7 days of the dispute.

- KYC and documentation: Chamber of Commerce, identity document of the legal representative, VAT number; BookdiaFork requires proof of ownership of the vouchers.

- Monitoring and reporting: monthly report on redemption; BookdiaFork can request random checks and suspend the subscription in case of proven fraud.

- Accounting and taxation: the transfer of vouchers as consideration is recorded as payment in kind (€3,000). The parties undertake to consult their tax consultants for VAT and tax obligations.

- Competent court: Rome.

SUPPLY CONTRACT VOUCHER MEAL TO SUBSCRIPTION
Between
(1) BookdiaFork S.r.l., with registered office in Romerepresented by the legal representative pro tempore (hereinafter “BookdiaFork”);
and
(2) [Social Reason Restaurant], with registered office in [ADDRESS], C.F. /P.IVA [●], represented by [Representative Legal Name] (hereinafter “Customer” or “Restaurant”).
Given that
A. BookdiaFork markets the annual “Scale/Premium” subscription service (hereinafter “Subscription”);
B. The Customer intends to pay the entire price of the Subscription by providing a meal voucher issued by the Restaurant for an agreed total value of Euro 3,000,00;
C. The parties intend to regulate terms, methods of delivery, verification, acceptance and consequences of the provision of vouchers as consideration.
You agree and stipulate the following.

1. Object
1.1. The Customer undertakes to deliver to BookdiaFork, as full payment (100%) of the Annual Subscription Scale / Premium, No. 100 (one hundred) meal vouchers of the unit value of Euro 30,00, for a total value of Euro 3,000,00 (hereinafter “Voucher”).
1.2. Accepted vouchers will be specified via code list (CSV) and PDF/image sample attached to this contract.

2. Delivery methods and documentation
2.1. No later than the day [DATA], the Customer will upload via secure channel (SFTP/reserved area) the CSV file containing the unique Voucher codes and will transmit to BookdiaFork a copy of the graphic template (PDF) and a physical sample, if required.
2.2. The CSV must contain for each Voucher the following fields: code_univocal, value, date_issue, date_expiration, status (issued), notes.

3. Verification and acceptance
3.1. The effectiveness of the activation of the Subscription is subject to prior technical and anti-fraud verification and acceptance by BookdiaFork, to be carried out within 5 (five) working days of receipt of the materials.
3.2. BookdiaFork may reject, even partially, non-compliant vouchers for technical reasons, duplication, suspicion of fraud or not complying with the specifications. In this case BookdiaFork will notify the reasoned rejection and the Customer will have 15 (fifteen) days to replace/recover the disputed Vouchers.
3.3. In case of non-replacement or sanatorium within the terms, the Customer must supplement the residual cash difference within 7 (seven) days of the dispute, under penalty of termination of this contract pursuant to art. 8.

4. Technical specifications and conditions of use of Vouchers
4.1. Vouchers must include: restaurant name, nominal value (€30), unique code/QR, date of issue, expiration date (12 months from issue), conditions of use, BookdiaFork logos (if required).
4.2. Vouchers are single redemption and are not convertible into cash; unless otherwise stated, a maximum of 1 (one) Voucher is allowed per visit/covered.
4.3. The ownership, legitimacy and exclusive availability of the Vouchers are guaranteed by the Customer. The Customer assumes all responsibility to third parties with regard to Vouchers.

5. Service activation and billing
5.1. Following formal acceptance of the Vouchers, BookdiaFork will activate the Subscription and send written confirmation to the Customer.
5.2. BookdiaFork will issue an invoice for the price of the Subscription indicating its nature (“received in kind: meal voucher – value €3,000.000”) and attaching the accepted code list. The parties undertake to cooperate for any required tax documentation.

6. Monitoring, reporting and fraud
6.1. BookdiaFork will provide the Customer with monthly reports on the status of Vouchers (issued, used, residual).
6.2. In case of irregular use or suspected fraud, BookdiaFork may suspend the Subscription and request clarification/supplementary documentation; if the fraud is established, BookdiaFork may terminate the contract and seek damages.

7. KYC obligations and guarantees
7.1. The Customer delivers at the same time a contract signature copy of the updated chamber view, identity document of the legal representative and VAT number.
7.2. The Customer guarantees that the Vouchers are legitimate, not burdened by the rights of third parties and not the subject of previous transfers with effect to BookdiaFork.

8. Failure and termination
8.1. In case of non-delivery of the Vouchers within the terms provided, of unreplaced vouchers or of non-integration in cash of the difference, BookdiaFork may terminate the contract for non-fulfillment by written notice and claim damages.
8.2. The termination does not affect BookdiaFork’s right to withhold any documented expenses incurred for verification.

9. Accounting and tax treatment
9.1. The parties agree that the transfer of the Vouchers as consideration is recognised as payment in kind for the total value of €3,000,00. Any VAT and tax implications will be regulated according to current regulations; each party is required to consult its tax advisor.
9.2. The parties undertake to cooperate to provide the competent bodies with any required documentation.

10. Liability and limitations
10.1. Except for intent or gross negligence, the parties shall not be liable for indirect or consequential damages.
10.2. The Client shall hold BookdiaFork harmless from any third-party claims relating to Vouchers, including claims or dispute actions.

11. Duration and withdrawal
11.1. This contract enters into force on the date of subscription and ceases at the natural expiry of the Annual Subscription unless terminated in advance.
11.2. The parties exercise the right of withdrawal within the terms provided by law for contracts between professionals, without prejudice to the provisions of art. 8.

12. Communications
12.1. All communications relating to this contract must be sent in writing to the addresses indicated in the premise or to the subsequent addresses communicated in writing.

13. Privacy and data processing
13.1. The parties undertake to comply with the current legislation on the protection of personal data (Reg. EU 2016/679 and national legislation). Any personal data related to the Vouchers will be processed according to the contractual purposes and with an appropriate legal basis.

14. Applicable law and place of jurisdiction
14.1. This contract is governed by Italian law. For any dispute arising from this contract, the Court of Rome is exclusively competent.

Terms & Conditions — “First Payment Wins” promotion for BookdiaFork Scale Premium subscription

1. Promoter

The promotion is organised by BookdiaFork of Beverly Vacanze, based in Rome (the “Promoter”).

2. Promotion period

The promotion runs from 01/06/2026 at 00:00 (CET) until 30/06/2026 at 23:59 (CET), unless the prize is exhausted earlier or the Promoter announces an extension.

3. Eligible participants and participation requirement

The promotion is open to restaurants/businesses operating anywhere in the world that make a new paid annual subscription to the BookdiaFork Scale Premium plan on the official website or through authorised commercial channels of the Promoter during the promotional period. Trial subscriptions, renewals and conversions of already active plans are excluded. Participation is subject to compliance with applicable local laws in the participant’s country of residence/operation.

4. Mechanics and prize award

- The prize is a travel/sporting-event package for 2 people worth up to €3,000 (voucher/back‑credit to be used with the contracted supplier).

- The prize will be awarded exclusively to the first order for which the Promoter verifies receipt of payment (the “First Verified Payment”).

- “First Verified Payment” means the order with the oldest timestamp for which the Promoter has received and verified the actual payment credit (for bank transfers: date of credit to the Promoter’s account; for card/POS: confirmed authorisation/transaction).

5. Confirmation procedure and timing

- Upon completion of the order the customer will receive an email confirmation with order ID and timestamp.

- Administrative and accounting verification may take up to 7 (seven) business days from the order time. The Promoter will inform the customer of the result by email within 3 (three) business days of completion of the verification.

- If the chronologically first order does not pass verification (e.g. payment not received, missing data, KYC not completed within 7 days), the prize will be awarded to the next chronologically subsequent order that is verified.

6. KYC requirements and documentation

On request by the Promoter, the customer must provide a copy of the contact person’s identity document, business registry extract (or equivalent) and any information necessary to verify eligibility. Failure to provide requested documentation within the specified time will result in exclusion from the promotion.

7. Prize delivery method

- The prize will be delivered in the form of a nominative voucher/back‑credit issued by the contracted supplier and managed according to the supplier’s terms and conditions.

- The voucher may be subject to blackout dates, availability limits and additional conditions (transport, personal expenses, airport taxes and extras not included). The winner will be informed of such conditions at the time of issue.

- The voucher must be used within 12 months from the date of issue, unless otherwise specified on the voucher.

8. Transferability and combinability

- The prize is nominative and not transferable except with prior written authorisation from the Promoter and the supplier.

- The prize cannot be combined with other promotions or discounts, unless otherwise authorised in writing by the Promoter.

9. Prize refund

No cash refund is available and the winner will not be entitled to convert the prize into cash, except where required by law or by the supplier’s policy.

10. Taxes and charges

Any taxes, duties, fees or charges related to prize use applicable in the winner’s country of residence/operation are the responsibility of the winner, unless otherwise required by law or specified by the supplier. The winner is responsible for verifying tax and customs obligations in their country.

11. Exclusions and abuse

The Promoter reserves the right to exclude any participant who engages in fraudulent conduct, manipulates the participation mechanism or otherwise breaches these terms.

12. Right of withdrawal and subscription cancellation

The subscription withdrawal rights are governed by BookdiaFork’s General Terms of Sale. Exercising the right of withdrawal or cancelling the subscription before payment/verification will void the participant’s eligibility for the promotion.

13. Liability and force majeure

- The Promoter is not liable for delays, technical malfunctions, service interruptions, lost emails, transmission errors or any inconvenience caused by force majeure, IT problems or third‑party acts that prevent correct execution of the promotion.

- Force majeure includes unforeseeable events beyond the Promoter’s control (e.g. natural disasters, strikes, public measures, external technical failures).

14. Personal data processing

- Personal data supplied by participants will be processed by the Promoter in accordance with Regulation (EU) 2016/679 (GDPR) for EU data subjects and, for participants outside the EU, in accordance with applicable local law and any safeguards adopted by the Promoter for international data transfers (e.g. standard contractual clauses). Data will be processed for purposes related to managing the promotion, awarding the prize and fulfilling legal obligations.

15. Publication of winner and use of name/image

- Requests for non‑publication must be sent in writing to the Promoter within 7 days of notification of the prize award.

16. Communications and complaints

- Complaints must be submitted within 30 days from the end of the promotion period and will be handled and responded to within 30 business days.

17. Changes and suspension of the promotion

The Promoter may modify, suspend or terminate the promotion in whole or in part for legitimate reasons, without prejudice to acquired rights. Any change will be promptly announced on the official website or by email to registered participants.

18. Governing law and jurisdiction

These terms are governed by Italian law. Any dispute arising from the interpretation or enforcement of these terms shall be subject to the exclusive jurisdiction of the Court of Rome, except where mandatory local law grants the participant a different forum.

19. Acceptance of the terms

Participation in the promotion implies full and unconditional acceptance of these terms and conditions.

20. Practical information and prize award timing

- The prize will be awarded within 30 days from verification of the winning order. The winner will be contacted by email at the address provided at purchase.

- If the winner cannot be reached within 30 days of the first notification, the Promoter may award the prize to the next eligible participant according to the rules above.
